1. Acceptance of Terms
By accessing the Arctom website, creating an account, requesting a quotation, or placing an order, you agree to be bound by these Terms.
If you use the platform on behalf of a company, university, laboratory, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Arctom provides an online marketplace and procurement platform that enables users to discover, compare, quote, and purchase research products from Arctom and third-party suppliers.
Arctom does not manufacture most products listed on the platform and may act as distributor, reseller, sourcing intermediary, or marketplace operator depending on the transaction.
3. User Accounts and Site Use
Users are responsible for maintaining accurate account information and safeguarding account credentials.
You may not use the website for unlawful purposes, attempt unauthorized access, interfere with site operations, scrape data in violation of applicable law or site restrictions, or misuse product information.
Arctom may suspend or terminate accounts that violate these Terms, applicable law, or platform security requirements.
4. Product Information and Research Use Restriction
Product descriptions, specifications, lead times, availability, and technical data may be provided by third-party suppliers and may be updated without notice.
Unless expressly stated otherwise in writing, products sold through Arctom are for research use only and are not intended for human consumption, therapeutic use, diagnostic use, or household use.
Customers are responsible for evaluating the suitability of products for their intended lawful research purpose and for complying with all handling, storage, labeling, safety, and disposal requirements.
5. Orders, Acceptance, and Availability
All quotations are subject to change and do not become binding until accepted by Arctom in writing, by order confirmation, or by shipment, whichever occurs first.
Arctom reserves the right to reject, limit, allocate, cancel, or refuse any order in whole or in part, including for compliance, supply, pricing, export-control, or credit reasons.
Lead times and availability are estimates unless expressly confirmed otherwise. Partial shipments may be made unless the parties agree in writing to a single shipment requirement.
6. Pricing, Taxes, and Payment
Prices, freight charges, handling charges, surcharges, and other fees are subject to change prior to order acceptance unless fixed in a written quotation.
Customers are responsible for all sales, use, value-added, import, customs, excise, and similar taxes, duties, and governmental charges, except taxes imposed on Arctom's net income.
Unless otherwise agreed in writing, payment is due according to the terms stated on the invoice or quotation. Arctom may require prepayment, credit-card payment, wire transfer, or other payment methods at its discretion.
Arctom may apply payments to the oldest outstanding invoice first.
7. Late Payment, Credit, and Collection
Overdue amounts may accrue a service charge at the lesser of 1.5% per month or the maximum rate permitted by applicable law, together with reasonable collection costs, attorneys' fees, and enforcement expenses.
Arctom may suspend shipments, cancel open orders, revoke credit terms, require cash in advance, or withhold documents and services if an account becomes past due or Arctom reasonably believes payment is insecure.
Customer grants Arctom the right to pursue all lawful remedies for nonpayment, including collection actions and recovery of amounts due.
8. Shipping, Delivery, and Title/Risk of Loss
Unless otherwise stated in writing, shipping dates are estimates only and time is not of the essence.
Title to products and risk of loss pass according to the Incoterm or shipping term stated in the quotation, order confirmation, or invoice. If no shipping term is stated, title and risk of loss pass upon delivery to the carrier.
Customers are responsible for ensuring that the shipping address, receiving party, import permissions, and local regulatory approvals are accurate and valid.
9. Inspection, Shortage, Damage, and Proof of Delivery
Customers must inspect deliveries promptly upon receipt and notify Arctom in writing of visible damage, shortages, incorrect items, or delivery discrepancies within seven (7) calendar days after receipt, unless a different period is required by applicable law.
Claims relating to transit damage should also be reported promptly to the carrier, and the customer must retain shipping materials, labels, and affected products as reasonably requested for investigation.
Requests for proof of delivery should be made promptly. Failure to request documentation within a commercially reasonable period may limit Arctom's ability to obtain carrier records.
10. Returns, Cancellations, and Restocking
Returns require Arctom's prior written authorization and must follow the return instructions provided by Arctom, including the designated return address and reference information.
Except where the return is caused by Arctom's error or a verified product-quality issue, approved returns may be subject to a restocking charge and all related freight, insurance, customs, and handling costs.
Custom synthesis, made-to-order, temperature-sensitive, perishable, hazardous-material, backorder, or other specially sourced items are generally non-cancelable and non-returnable once production, procurement, or shipment has begun.
11. Limited Warranty and Claims for Nonconforming Product
Arctom warrants only that, at the time of shipment, products will materially conform to the product label or accompanying certificate of analysis, if any, subject to normal analytical tolerances and the product's stated specifications.
Customer's exclusive remedy for a valid warranty claim is, at Arctom's option, replacement of the affected product, refund of the purchase price paid for the affected product, or issuance of a credit note.
To make a warranty claim, the customer must notify Arctom in writing within seven (7) calendar days after receipt for visible issues and within thirty (30) calendar days after receipt for latent nonconformity that could not reasonably be discovered earlier, and must provide supporting documentation reasonably requested by Arctom.
The limited warranty does not apply to products that have been misused, improperly stored, relabeled, combined with other materials, tested beyond normal verification, or used contrary to instructions, law, or standard laboratory practice.
12. Warranty Disclaimer
Except for the express limited warranty stated above, the website, platform, and products are provided "as is" and "as available," and Arctom disclaims all other warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and results obtained from use, to the fullest extent permitted by law.
Arctom does not warrant that the site will be uninterrupted or error-free, or that supplier-provided information is complete, current, or accurate in all respects.
13. Regulatory Compliance and Export Controls
Customers are responsible for complying with all applicable laws and regulations related to purchase, import, export, re-export, storage, handling, transport, and use of products, including hazardous-material, sanctions, customs, and export-control requirements.
Arctom may decline transactions involving restricted parties, embargoed destinations, prohibited end uses, or products requiring authorizations that have not been obtained.
14. Intellectual Property
All website content, software, text, graphics, trademarks, logos, and compilations are owned by Arctom or its licensors and are protected by applicable intellectual property laws.
No right or license is granted except the limited right to access and use the site for legitimate internal business and purchasing purposes.
15. Privacy and Confidentiality
Arctom processes personal and business information in accordance with its Privacy Policy and reasonable internal confidentiality practices.
Order details, technical requests, and other commercial information may be shared with relevant suppliers, logistics providers, payment processors, and service providers as reasonably necessary to process transactions and operate the platform.
16. Limitation of Liability
To the fullest extent permitted by law, Arctom shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, loss of data, business interruption, or procurement of substitute goods, arising out of or relating to the site, the platform, quotations, orders, shipments, or products.
Arctom's total aggregate liability arising out of or relating to any claim shall not exceed the amount paid by the customer for the specific product or order giving rise to the claim.
17. Indemnification
Customer agrees to defend, indemnify, and hold harmless Arctom and its affiliates, officers, employees, and agents from third-party claims, losses, liabilities, costs, and expenses arising from the customer's unlawful use of the products, violation of these Terms, or failure to comply with applicable law.
18. Force Majeure
Arctom shall not be liable for delay or failure in performance caused by events beyond its reasonable control, including acts of God, epidemic, fire, flood, labor disputes, transportation disruption, supplier failure, raw-material shortage, cyber incident, war, terrorism, governmental action, or carrier delay.
19. Governing Law and Miscellaneous
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, unless a different governing law is required by non-waivable law.
If any provision is found unenforceable, the remaining provisions remain in effect. Arctom may update these Terms from time to time by posting an updated version on the website. The version in effect at the time of order placement governs that transaction unless otherwise agreed in writing.
